Abstract “Governance Meets Ethics: A Strategic Perspective” examines the evolving integration of ethical principles within corporate governance frameworks and its implications for long-term organizational success. In an era marked by heightened stakeholder awareness and regulatory scrutiny, governance is no longer limited to compliance and control; it increasingly embodies ethical responsibility as a strategic imperative. This paper explores how ethical values can be embedded into governance structures to enhance transparency, accountability, and trust among stakeholders. The study adopts a conceptual and analytical approach, drawing on existing literature, corporate practices, and governance models to evaluate the alignment between ethical decision-making and strategic management. It highlights the role of leadership, board composition, and organizational culture in fostering an ethical environment that supports sustainable growth. Furthermore, the paper discusses how integrating ethics into governance not only mitigates risks such as fraud and reputational damage but also strengthens corporate legitimacy and competitive advantage. The findings suggest that organizations that proactively align governance mechanisms with ethical standards are better positioned to respond to dynamic market challenges and societal expectations. The paper concludes that a strategic perspective on governance one that prioritizes ethical considerations alongside economic objectives is essential for building resilient and responsible enterprises in the modern business landscape.
